1. Introduction and Agreement

Welcome to yunsealoong.com (the “Site”), the official website of Yun Sealoong Cross-border (Zhengzhou) Technology Co., Ltd. (referred to as “Yun Sealoong,” “we,” “us,” or “our”).

These Terms and Conditions (“Terms”) govern your access to and use of our Site, as well as all business transactions, quotations, and orders for our custom packaging products (the “Products”).

By accessing this Site or placing an order with us, you (the “Client” or “you”) agree to be bound by these Terms in their entirety. If you do not agree to these Terms, please do not use this Site

2. Quotations and Orders

Invitation, Not Offer: All information and Products displayed on this Site constitute an “invitation to treat,” not a binding offer to sell.

Quotations: All price quotations provided by Yun Sealoong are valid for thirty (30) days unless otherwise specified in writing. Quotations are estimates based on the information provided by the Client and are subject to change upon review of final artwork, material specifications, and shipping requirements.

Order Confirmation: An order is considered binding and accepted only after one of the following events has occurred:

Direct Order: Yun Sealoong issues a formal Proforma Invoice (PI) which the Client confirms through written approval (e.g., email, signed PO) AND fulfillment of the required payment.

Alibaba Order: The Client places and confirms an order, including payment, through our official Alibaba International storefront (e.g., via a Trade Assurance order).

Applicability of Terms: Unless explicitly superseded by the terms of an Alibaba Trade Assurance agreement, these Terms and Conditions shall apply to all orders, whether placed directly via PI or through our Alibaba storefront.

3.Payment Terms

Currency: All transactions are conducted in U.S. Dollars (USD) unless otherwise agreed in writing.

Payment Method: Our standard payment method is Telegraphic Transfer (T/T).

Payment Requirements: To initiate an order and schedule production, the Client must select one of the following two (2) payment structures:

Option 1 (Standard Terms): A 50% non-refundable deposit of the total order value is required to commence production. The remaining 50% balance payment is due upon order completion and prior to shipment.

Option 2 (Full Prepayment): A 100% non-refundable payment of the total order value is required at the time of order confirmation to commence production.

Production Start: Production will not be scheduled until the required funds (either the 50% deposit or 100% prepayment) have been received and all order specifications (including proof approval) are confirmed. Yun Sealoong is not liable for any delays in production or shipment caused by late payments.

Order Cancellation: In the event of an order cancellation by the Client after production has begun, the 50% deposit (or equivalent value from a 100% prepayment) will be retained by Yun Sealoong to cover material and labor costs.

4. Customization, Artwork, and Proof Approval (Critical)

• Client Responsibility: The Client is solely responsible for the accuracy and legality of all content, including text, graphics, logos, and specifications provided for customization.

• Proof Approval: Yun Sealoong will provide a digital (or, if requested and agreed, physical) proof for the Client’s review and approval before mass production begins.

• Binding Approval: The Client must provide clear, written approval (e.g., via email) of the final proof. Yun Sealoong is not liable for any errors, omissions, or defects (such as spelling errors, incorrect colors, or design flaws) that were present in the final proof approved by the Client.

• Color Matching: While we strive for exact color matching, slight variations in color can occur due to different material substrates and printing processes (CMYK vs. Pantone). We cannot guarantee a 100% match to screen colors (RGB) or previously printed materials.

5. Intellectual Property (IP) and Trademarks

• Our IP: All content on this Site, including our logo, text, graphics, and designs, is the property of Yun Sealoong and is protected by international copyright and trademark laws.

• Client’s IP (Client’s Warranty): By submitting an order, you warrant and represent that you have the legal right, license, or permission to use all trademarks, logos, and copyrighted content supplied to us for manufacturing.

• Indemnification: You agree to indemnify, defend, and hold harmless Yun Sealoong, its owners, and its employees from any and all claims, liabilities, damages, and costs (including legal fees) arising from any claim of trademark, copyright, or patent infringement related to the artwork and design you supplied.

6. Delivery Term and Risk of Loss

• Incoterms: All delivery and shipping terms (e.g., FOB, CIF, EXW) will be specified in the Proforma Invoice. Risk of loss and title for the Products pass to the Client in accordance with the agreed Incoterm.

• Lead Times: All production and delivery dates are estimates only. Yun Sealoong is not liable for delays caused by shipping carriers, customs clearance, or other factors outside our direct control.

• Inspection: The Client must inspect all Products immediately upon receipt. Any claims for shortages or significant manufacturing defects must be reported to Yun Sealoong in writing within seven (7) business days of delivery.

7. Product Information & Limited Warranties

• Product Information: We make every effort to ensure the accuracy of product descriptions on the Site. However, in bulk manufacturing, slight variations in material, dimension (e.g., +/- 5-10%), or finish are considered normal and are not grounds for rejection.

• Limited Warranty: We warrant that the Products will be free from major manufacturing defects and will substantially conform to the specifications approved in the final proof.

• Exclusions: This warranty does not cover (i) damage caused by misuse, improper storage, or handling after delivery; (ii) minor cosmetic imperfections considered normal in the packaging industry; or (iii) any defects arising from client-supplied materials or designs.

8. Disclaimer of Liability

This Site and its content are provided “as is” and “as available” without any warranties of any kind, either express or implied. Yun Sealoong does not warrant that the Site will be uninterrupted, error-free, or free of viruses.

9. Limitation of Liability

To the fullest extent permitted by law, in no event shall Yun Sealoong be liable for any indirect, special, incidental, consequential, or punitive damages (including, but not limited to, lost profits, loss of business, or brand damage) arising from the use of this Site or the purchase of our Products, even if advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising from an order shall not exceed the total amount paid by the Client for that specific order.

10. Force Majeure

Yun Sealoong shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, riots, strikes, labor disputes, pandemics, raw material shortages, or governmental regulations.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China.

Any dispute arising from or related to these Terms or any order shall be submitted to binding arbitration in Zhengzhou, Henan Province, China, administered in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in effect at the time.

12. Changes to Terms

We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to the Site. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.
